S/List Designer

This is the S/List developer software that is required by anyone who needs access to the design interface to build reports and or build & run queries.

S/List Report Viewer

This is the old 'runtime' software that is required by developers who wish to include their reports in a locked down format for use by end-users. This software is not for use by end-users who want to create or modify S/List reports in any way.

Licensing

SPREZZATURA S/LIST SOFTWARE LICENCE.

THIS IS A LEGAL DOCUMENT BETWEEN YOU, THE  LICENSEE (END USER) AND SPREZZATURA  LICENSOR).  PLEASE READ AND UNDERSTAND THIS PRODUCT LICENCE CAREFULLY BEFORE OPENING THE MEDIA PACKAGE, DOWNLOADING THE SOFTWARE OR INSTALLING THE SOFTWARE. IF YOU DO NOT AGREE WITH THE TERMS AND CONDITIONS OF THIS SOFTWARE LICENCE, YOU SHOULD PROMPTLY RETURN THE PRODUCT TO SPREZZATURA GROUP, OR TERMINATE THE DOWNLOAD SESSION AND TERMINATE THE INSTALLATION.

This Licence governs the use of the software and related documentation contained within the software. Installation, copying, downloading, or any other use of the software constitutes your agreement to be bound by the terms and conditions set out in this licence.

Definitions:
Sprezzatura - means the Licensor, being all companies in the Sprezzatura group, namely Sprezzatura Limited in the United Kingdom and Sprezzatura Inc. in the United States of America.

Licensee - means the ‘End User’, person or company, responsible for the acceptance of this product licence and the use of all Software provided as part of this product licence.

Licensor - means Sprezzatura as the organisation responsible for the creation, sole ownership and licensing the use of the Software.

Licence Agreement - means the terms and conditions governing the use of the software.

Software - means S/List (Developer or Runtime) and any application, utility or computer program software delivered by the Company in machine readable, object, printed or interpreted form and either incorporated within hardware or separately supplied including all related documentation.

1. Grant of licence
Sprezzatura grants Licensee a non-exclusive licence to install and use one (1) copy of the software and one (1) copy of the documentation on one (1) single computer (i.e., Single CPU) or to one (1) network server at any one time for the use only in the Licencee’s own business. If the software is to be installed on a network server, as a multi-user environment, the number of computers and terminals accessing or operating the Software shall not exceed the total number of Software licences purchased by the Licencee. Licencee must purchase S/List development licences for each concurrent S/List developer (i.e., each individual using both S/List and OpenInsight to access data on the server). It should be noted that while this licence is based on concurrent S/List developers, the nature of the software configuration on OpenInsight does not release the S/List developer licence to a second S/List developer until the first has fully logged out of the S/List and the OpenInsight system.

In addition to the operational instances of the installed software, the Licencee may make one (1) machine readable copy of the software solely for backup or archival purposes for the system on which the Software is installed. As an express condition of this Licence, the Licencee must reproduce on the copy Licensor's copyright notice and any other proprietary legends on the original copy supplied by Licensor.

All other rights are reserved to Sprezzatura. This software is protected by copyright law, international copyright treaty and by Sprezzatura’s licensing requirements as defined in this product licence.

Licensor reserves any right not expressly granted to the Licensee. The Licensee owns the disk on which the Software is recorded, but Licensor retains ownership of all copies of the Software itself. The Licensee assumes sole responsibility for the installation, use and results obtained from use of the Software.

1a. S/List Report Designer Licence
Every individual who assists in the creation, maintenance, testing and support of S/List reports and queries must have access to a properly licenced copy of the Software. Proper licensing can be determined by verifying the total number of developer copies of the Software invoiced to the Licencee against the total number of machines accessing the Software at any one time.

1b. S/List Report Viewer Licence
The S/List Report Viewer Licence is provided as part of the purchase of an S/List Report Designer licence at no additional charge.  The S/List Report Viewer licence permits an infinite number of predefined reports and queries to be run from within the application but the S/List interface may not be exposed to the user in any way whatsoever.

If the user can develop their own reports, either using the S/List Assistant or in any other manner, a Report Designer licence is required.  If the user is simply running reports that have been developed for them using a report designer licence, then they do not require a licence.

2. Term of Agreement
The term of this Agreement shall commence on the date that Company receives the product and it shall remain in effect until terminated. This Agreement shall automatically terminate without notice if Licencee fails to comply with any term or condition of this Agreement. Upon termination of this Agreement, the Licensee shall cease use of the Product and, upon request, return to Licensor or certify destruction of the Software, including documentation and any related materials.

3. Termination
This Licence is effective until terminated. This Licence will terminate immediately without notice from Licensor if the Licencee fails to comply with any of its provisions. Upon termination the Licensee must destroy the Software and all copies thereof, and the Licensee may terminate this Licence at any time by doing so.

4. Limited Warranty
Licensor warrants that the physical media and physical documentation provided by Sprezzatura to be free of defects in materials and workmanship for a period of thirty days from the date of initial use by the original Licencee. If Sprezzatura receives notification within the warranty period of defects in materials or WORKMANSHIP, and determines that such notification is correct, Sprezzatura will replace the defective media or documentation or, at the Licensor’s election, refund the purchase price for the Software.

LICENCEE MAY NOT RETURN ANY PRODUCT UNTIL LICENCEE HAS OBTAINED A RETURN AUTHORISATION NUMBER FROM SPREZZATURA’S CUSTOMER CARE DEPARTMENT. SPREZZATURA SPECIFICALLY DISCLAIMS ALL OTHER WARRANTIES, REPRESENTATIONS, OR CONDITIONS, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, ANY IMPLIED WARRANTY OR CONDITION OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. ALL OTHER IMPLIED TERMS ARE EXCLUDED.

Specifically, Sprezzatura makes no representation or warranty that the software or documentation is "error-free" or meets any user's particular standards, requirements, or needs. In all events, any implied warranty, representation, condition, or other term is limited to the physical media and documentation and is limited to the 30-day duration of the limited warranty.

This warranty does not cover any Software that has been altered or changed in any way by anyone other than Licensor. The lLicensor is not responsible for problems associated with or caused by incompatible operating systems or equipment, or for problems in the interaction of the Software with software not furnished by Licensor.

No oral or written information or advice given by Licensor or its dealers, distributors, employees or agents shall in any way extend, modify or add to the foregoing warranty.

The warranty and remedy provided above are exclusive and in lieu of all other warranties, express or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose. The Licensee assumes all risk as to the suitability, quality, and performance of the software. To the maximum extent permitted by applicable law, in no event will licensor, or its suppliers, directors, officers, employees or affiliates, be liable to the licencee for any consequential incidental, direct, indirect, special, punitive, exemplary or other damages (including without limitation, damages for loss of business profits, business interruption, loss of data or business information, and the like) arising out of the use of or inability to use the software or accompanying written materials, even if licensor  has been advised of the possibility of such  damages.

Licensor's liability to the Licensee (if any) for actual direct damages for any cause whatsoever, and regardless of the form of the action, will be limited to, and in no event shall exceed, the amount originally paid to licensor for the licence of the software.

Because some US states/jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to a US recipient.

5. Severability
If any provision of this Agreement is found void or unenforceable, the remainder will remain valid and enforceable according to its terms. If any remedy provided is determined to have failed its essential purpose, all limitations of liability and exclusions of damages set forth shall remain in effect.

6. United States of America Specific - Government Restrictions Use, duplication or disclosure of the software and documentation in this package, by the U.S. Government is subject to the restricted rights applicable to commercial software under clauses 52.227-19 of the FAR and 252.227-7013 of the DFARS.

7. Transfer of Software
If the Licensee merges with, is acquired by, or otherwise sells or transfers all or substantially all of its business to a third party, the Licensee may assign this Licence to the third party. Any such transfer must be agreed in writing by Licensor prior to any such transfer and the identity of the new Licensee must be ascertained as part of the initial transfer request by the Licensee. The Licensor, the old Licensee and the new Licensee shall all be bound by all of the terms and conditions of this Agreement. The new Licensee shall be required to read the terms and conditions of this licence and accept them in writing. Except as set forth above, this Licence shall not be assigned or transferred without the written consent of Sprezzatura.

8. Enhancements
The Licensor employs a policy of continuous  product improvement and from time to time Licensor may, at its sole discretion, advise the Licensee of updates, upgrades, enhancements or improvements to the Software and/or new releases of the Software (collectively, "Enhancements"), and may licence the Licensee to use such enhancements upon payment of prices as may be established by Licensor.  All such Enhancements to the Software provided to the Licensee shall also be governed by the terms of this Licence.

9. Upgrading
An upgraded version of the software constitutes a single product. An upgrade and the original software that Licencee upgraded cannot both be available for use at the same time, cannot be applied to more than one licenced product, and cannot be transferred separately, without written permission from Sprezzatura.

10. Support and Maintenance
The purchase of a new S/List Report Designer license includes Sprezzatura Basic Support valid for 12 months from the date of the original purchase of the license.  This support is provided by email (support@sprezzatura.com) and covers an unlimited number of developer support contacts with Sprezzatura with regard to any documented S/List feature.  Note this does not extend to end user support on how to construct list statements - these are charged for on a pay as you go basis.

The purchase of a new S/List Report Designer license includes access to S/List product upgrades and patches for 12 months from the date of the original purchase of the license and as released from time to time by Sprezzatura through their web site at www.sprezzatura.com.  Sprezzatura give no prior notification of the release of new versions and patches published to the web site and Licensee accepts full responsibility for monitoring the appropriate web pages for the publication of new versions.

On or just prior to the anniversary of the original purchase the Licensee has the right to apply for, and purchase, a further 12 months S/List Support and Maintenance at the then current published list prices.  At the time of extending an expiring Support and Maintenance agreement a new installation code will be provided and it is this license code that will enable upgrades to be applied to that license for a further 12 months.  The new installation code may only be applied to one copy of S/list Report Designer on one machine as covered in section 1 and section 9 of this license.

NOTE: S/List Support and Maintenance agreements, as detailed in section 10 of this license, can only be extended on or before their expiry date being 12 calendar months from the original S/List license purchase date or 12 calendar months from the purchase of the last Support and Maintenance renewal.  Support and Maintenance renewals after the last expiry date will only be accepted at the discretion of Sprezzatura management.

11. Exports
The Licencee agrees that the Software is to be used only in the country that Licensor originally supplied the Software to as part of the contract of sale, and that the Software will not be transferred or exported, directly or indirectly, outside the same country.

12. Audit
During the term of this Licence, the Licensee shall permit the Licensor or the Licensor’s authorised representative, upon reasonable notice and during normal business hours, to inspect and audit the Licencee’s books and records relating to this Licence and to perform data processing audits to ensure compliance with this Licence.

13. Protection and Security
The Licensee agrees to use its best efforts and to take all reasonable steps to safeguard the Software to ensure that no unauthorised person shall have access thereto and that no unauthorised copy, publication, disclosure or distribution in whole or in part, in any form, shall be made. The Licensee acknowledges that the Software contains valuable confidential information and trade secrets and that unauthorised use and/or copying are harmful to Licensor.

14. General
This Licence will be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania for Software purchased through Sprezzatura Inc. and of the United Kingdom for Software purchased through Sprezzatura Limited and shall inure to the benefit of Licensor and Licensee and their successors, assigns and legal representatives. If any provision of this Licence is held by a court of competent jurisdiction to be invalid or unenforceable to any extent under applicable law, that provision will be enforced to the maximum extent permissible and the remaining provisions of this Licence will remain in full force and effect. Any notices or other communications to be sent to Licensor must be sent by recorded mail, postage prepaid, to either:

15. Other Restrictions
The licencee may not modify, merge, adapt, translate, rent, lease, loan, resell for profit, distribute, or otherwise assign or transfer the software, or create derivative works based upon the software or any part thereof, except as expressly provided in section 7 above. The Licensee may NOT decompile, reverse engineer, disassemble, or otherwise reduce the Software to a human readable form. The Software may not be distributed as part of a runtime deployment or RDK install. If the Licensee deploys, transmits or otherwise ships a copy of the Software to a third-party, additional licences are required.

16. Acknowledgement
By opening this package, the Licensee acknowledges that he or she has read this licence, understands it, and agrees to be bound by its terms and conditions. Should the Licensee have any questions concerning this licence, he or she should contact the Licensor at the address set forth above.

17. Entire Agreement
This Licence constitutes the entire agreement between the Licensor and Licensee with respect to the subject matter hereof, and all prior proposals, agreements, representations, statements and undertakings are hereby expressly cancelled and superseded. This Licence may not be changed or amended except by a written instrument executed by a duly authorized officer of Licensor.

18. Registered Trademarks and Proprietary Names
Product names mentioned in this document may be trademarks or registered trademarks of Sprezzatura Ltd, Sprezzatura Inc, Revelation Software or other hardware, software, or service providers and they are used within this document for identification purposes only.
